TERMS AND CONDITIONS OF SERVICE

1. INTRODUCTION

These Terms and Conditions of Service (“Terms”) govern your use of the services (“Services”) provided by DIJIT LABS ÖU (“the Company”), a limited liability company with registration number 16602801 and VAT number EE102603648, with registered office at Harju maakond, Tallinn, Lasnamäe linnaosa, Sepapaja tn 6, 15551, specializing in web design, SEO, digital paid advertising, social media management, content creation and more.

By using our Services, you agree to and undertake to comply with these Terms. If you do not agree to these Terms, you should not use our Services.

2. SERVICES

DIJIT LABS ÖU will provide the Services as agreed in the service proposal or contract signed by both parties. The Services may include, but are not limited to, web design, SEO, digital paid advertising, social media management, content creation, and more.

3. PAYMENT

Payment for the Services shall be made in advance, unless otherwise stated in the Service Agreement. All payments must be made in the agreed currency and within the timeframes set out in the Service Agreement.

4. PRIVACY AND DATA PROTECTION

DIJIT LABS ÖU complies with all European Union privacy and data protection laws and regulations. For more information on how we handle your personal data, please see our Privacy Policy.

5. TERMINATION

In the event that the user or client does not comply with the provisions of these Terms and Conditions of Service, DIJIT LABS ÖU reserves the right to terminate their access to the Services at any time, with cause and with prior notice.

6. MODIFICATIONS TO THE TERMS

DIJIT LABS ÖU reserves the right to modify these Terms at any time. Modifications will take effect immediately upon posting on our website.

7. APPLICABLE LAW

These Terms shall be governed by and construed in accordance with the laws of Estonia, without regard to its conflict of laws provisions.

9. INTELLECTUAL PROPERTY

All intellectual property rights in and to the Services, including but not limited to all copyrights, trademarks, trade secrets, patents and other proprietary rights are owned by DIJIT LABS ÖU. You may not copy, modify, distribute, sell or rent any part of our Services without our express written consent.

10. INDEMNIFICATION

You agree to indemnify and hold harmless DIJIT LABS ÖU, its directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorneys' fees) arising from: (i) your use of and access to the Services; (ii) your violation of any term of these Terms; (iii) your violation of any third party right, including without limitation any copyright, property, or privacy right; (iv) any claim that one of your acts or omissions has caused damage to a third party.

11. LIMITATION OF LIABILITY

In no event shall DIJIT LABS ÖU be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if DIJIT LABS ÖU has been advised of the possibility of such damages), resulting from the use or inability to use the Services.

12. CONFIDENTIALITY

All information you provide to DIJIT LABS ÖU will be treated as confidential. We will not disclose any confidential information to any third party without your express consent, unless required by law.

13. DISPUTES

Any dispute relating to these Terms shall be resolved by the courts of Estonia.

14. MISCELLANEOUS

These Terms constitute the entire agreement between you and DIJIT LABS ÖU and govern your use of the Services, superseding any prior agreements between you and DIJIT LABS ÖU. If any part of these Terms is held invalid or unenforceable, that portion will be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties, and the remaining portions will remain in full force and effect.
